Striker Bay - Terms of Use

Welcome to Striker Bay!

These Terms of Use ("Terms") govern your access to and use of the Striker Bay website, services, and applications (collectively, the "Platform"). The Platform is owned and operated by StrikerBay ("Striker Bay," "we," "us," or "our").

By creating an account, accessing, or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform. This is a legally binding agreement. Please read it carefully.

1. Definitions

• "Platform": Refers to the Striker Bay website, its subdomains, and any associated services, including the forum, marketplace, escrow system, and messaging service.
• "User", "you", "your": Refers to any individual or entity who creates an account and uses the Platform.
• "Content": Refers to any text, images, videos, listings, posts, messages, or other materials uploaded, posted, or transmitted by a User on the Platform.
• "Escrow System": Refers to our automated service for holding funds from a Buyer and releasing them to a Seller upon the fulfillment of specified conditions in a Transaction.
• "Transaction": Refers to any agreement between a Buyer and a Seller for the exchange of goods or services facilitated through the Platform's marketplace.
• "E2EE Messaging": Refers to our end-to-end encrypted messaging service, which uses AES-256-GCM encryption to secure communications between Users.

2. Eligibility and Account Security

• Age Requirement: You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account and use the Platform. By using Striker Bay, you represent and warrant that you meet this requirement.
• Account Creation: You agree to provide accurate, current, and complete information during the registration process.
• Account Security: You are solely responsible for safeguarding your account credentials (username, password, and any two-factor authentication codes). You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You are liable for all activities that occur under your account.

3. The Striker Bay Platform

Striker Bay provides a venue for Users to connect. We are not a party to any Transaction between Users. We do not produce, store, inspect, or sell any of the items listed on the Platform.

• Forum: Users may post Content, engage in discussions, and interact with the community, subject to the rules outlined in Section 4.
• Marketplace: Users may list items for sale ("Sellers") and purchase items ("Buyers"). All Transactions are solely between the Buyer and the Seller.
• Anonymity: The Platform is designed to facilitate pseudonymous interactions. However, complete anonymity is not guaranteed. You are responsible for protecting your own personal information.

4. User Conduct and Prohibited Activities

You agree not to do any of the following, either directly or indirectly:

• Illegal Activities: Use the Platform for any illegal purpose or in violation of any local, state, national, or international law.
• Prohibited Items: Post, list, buy, or sell any items that are illegal, hazardous, counterfeit, stolen, or otherwise violate our Prohibited Items Policy (see Section 5).
• Harmful Content: Post or transmit any Content that is fraudulent, defamatory, libelous, obscene, pornographic, vulgar, or offensive.
• Harassment and Abuse: Engage in stalking, harassing, threatening, bullying, or intimidating other Users.
• Intellectual Property Infringement: Violate the patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights of any party.
• Spam and Phishing: Send unsolicited advertising, promotional materials, or other forms of solicitation. Attempt to deceive Users to obtain sensitive information.
• System Integrity: Interfere with or disrupt the Platform's servers or networks, including by transmitting any worms, viruses, spyware, malware, or any other code of a destructive or disruptive nature.
• Data Scraping: Use any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express written permission.

We reserve the right, but are not obligated, to remove any Content and suspend or terminate any User account that we, in our sole discretion, believe violates these Terms.

5. Prohibited Items Policy

You may not post, buy, or sell any of the following items or services on Striker Bay:

• Illegal drugs, narcotics, controlled substances, and any related paraphernalia.
• Firearms, weapons, ammunition, and explosives.
• Stolen or counterfeit goods.
• Personal identifying information (doxxing), financial records, or non-public data.
• Hazardous materials, including flammable, explosive, or poisonous substances.
• Pornography or sexually explicit content.
• Items or services that promote hate, violence, or discrimination.
• Any item or service that is illegal in the jurisdiction of the Buyer or Seller.
• Regulated products that require a license to sell, such as alcohol or tobacco, without proof of such license.
• Any form of illegal services.

This list is not exhaustive. Striker Bay reserves the right to remove any listing that it deems inappropriate or in violation of its policies.

6. The Automated Escrow System

Our Escrow System is designed to provide a trustless environment for Transactions.

• Process:

1. A Buyer initiates a Transaction and deposits the agreed-upon funds into the Escrow System.
2. The Seller is notified that funds are secured.
3. The Seller delivers the goods or services to the Buyer.
4. The Buyer confirms satisfactory receipt of the goods or services.
5. The Escrow System releases the funds to the Seller.

• Fees: We may charge a fee for the use of the Escrow System. Any applicable fees will be clearly disclosed to you before you enter into a Transaction.
• Dispute Resolution: In the event of a dispute between a Buyer and a Seller (e.g., item not received, item not as described), Users may initiate a dispute claim. Striker Bay will act as a neutral arbiter. You agree to cooperate with us in the dispute process and provide any requested information or evidence. You agree that Striker Bay's decision in any dispute is final and binding on both parties.
• No Interest: You acknowledge and agree that Striker Bay is not a bank or a financial institution and that we will not pay you interest on the funds held in our Escrow System.
• User Responsibility: You are solely responsible for complying with all applicable laws related to your Transactions, including any tax obligations.

7. End-to-End Encrypted (E2EE) Messaging

• Privacy: Our messaging service uses AES-256-GCM end-to-end encryption. This means that Striker Bay cannot decrypt or read the content of your messages. Only you and the recipient(s) can.
• Fingerprint Verification: We provide a fingerprint/safety number verification feature to help you confirm the identity of your contacts and prevent man-in-the-middle attacks. It is your responsibility to use this feature.
• No Content Moderation: Because we cannot access message content, we cannot moderate conversations or be held liable for any Content transmitted through E2EE Messaging. If you receive harassing or illegal messages, you may block and report the User, but we will not be able to review the message content as evidence.
• Account Access is Your Responsibility: If you lose access to your account or your encryption keys, you may permanently lose access to your encrypted message history. Striker Bay cannot recover this data for you.

8. Intellectual Property

• Our IP: The Platform, including its "look and feel," logos, trademarks, and source code, are the exclusive property of Striker Bay and its licensors.
• Your Content: You retain ownership of the Content you post on the Platform. However, by posting Content, you grant Striker Bay a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your Content in connection with the operation of the Platform. This license is necessary for us to display your listings and posts to other Users.

9. Termination

• By You: You may terminate this agreement at any time by deleting your account from your account settings.
• By Us: We may, in our sole discretion, suspend, disable, or terminate your account and access to the Platform, without prior notice, for any reason, including but not limited to your violation of these Terms.

10. Disclaimers and Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS THE LIABILITY OF STRIKER BAY.

• "AS IS" BASIS: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
• NO LIABILITY FOR TRANSACTIONS: YOU ACKNOWLEDGE THAT STRIKER BAY IS SOLELY A VENUE. WE ARE NOT INVOLVED IN THE ACTUAL TRANSACTION BETWEEN BUYERS AND SELLERS. WE DO NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR AUTHENTICITY OF ANY ITEMS LISTED. YOU USE THE PLATFORM AND ENGAGE IN TRANSACTIONS AT YOUR OWN RISK.
• NO LIABILITY FOR USER CONDUCT: WE ARE NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE PLATFORM.
• LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRIKER BAY, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS PLATFORM.
• LIABILITY CAP: IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THESE TERMS, STRIKER BAY IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF THE PLATFORM, OUR LIABILITY SHALL IN NO EVENT EXCEED THE GREATER OF (1) THE TOTAL FEES PAID BY YOU TO STRIKER BAY IN THE SIX (6) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY, OR (2) ONE HUNDRED U.S. DOLLARS ($100.00).

11. Indemnification

You agree to release, defend, indemnify, and hold Striker Bay and its affiliates, officers, directors, and employees harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Platform; (ii) your violation of these Terms; (iii) your Content; or (iv) your interaction with any other User.

12. Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by the laws of the State of Delaware without regard to its conflict of laws provisions.
• Arbitration: You agree that any dispute or claim relating in any way to your use of the Platform will be resolved by binding arbitration, rather than in court. The Federal Arbitration Act and federal arbitration law apply to this agreement.
• Class Action Waiver: YOU AND STRIKER BAY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. General Provisions

• Changes to Terms: We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with notice, such as by sending an email or displaying a prominent notice on the Platform. Your continued use of the Platform after any such change constitutes your acceptance of the new Terms.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
• Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire and exclusive understanding and agreement between Striker Bay and you regarding the Platform.
